Public Offer (Payment Terms)

1. General provisions

This document is a Public Offer (the "Offer") that governs the financial terms of paid services provided via ThemeForge (themeforge.pro). Non-payment usage rules (acceptable use, intellectual property, liability) are covered by the separate User Agreement.

Acceptance: by paying for a subscription, you (the "User") fully accept this Offer. The contract effective date is the date of the first successful payment.

2. Subject matter

We provide access to paid ThemeForge features under a monthly subscription:

• WordPress theme generation from HTML/Webflow projects
• Theme download
• Remote theme updates on installed WordPress sites
• Unlimited projects and generations
• All future features added to the service

3. Pricing and payment

Subscription is paid, billed every 30 calendar days.

• $20 USD per period — via Paddle

New accounts get a 4-day free trial. After the trial, an active subscription is required.

VAT / Sales Tax: the displayed price is exclusive of VAT and local sales tax. Paddle (acting as Merchant of Record) calculates and collects applicable VAT/sales tax at checkout based on your billing country (typically 0–27%). Your total may therefore exceed the base price.

4. Recurring (Automatic) Payments

Subscriptions activate automatic monthly recurring billing. By purchasing a subscription and confirming the consent checkbox on the payment page, the User authorizes Paddle to store payment method data and automatically charge the subscription fee.

4.1. Subscription terms

• Period: 30 calendar days from each successful payment
• Price: $20 USD — fixed
• Methods: Visa, Mastercard, American Express, PayPal, Apple Pay, Google Pay (via Paddle)

4.2. Charge schedule

• First charge — immediately upon subscription confirmation
• Subsequent charges — automatically every 30 days, within 24 hours before current period expires
• On failed charge: up to 3 retries at 24-hour intervals; after that, subscription deactivates, access preserved until end of paid period

4.3. Cancellation

Cancel anytime via:

1. Your account page — "Cancel subscription" button, immediate effect on auto-renewal, access preserved until end of current period
2. Contacting support@themeforge.pro — cancellation within 1 business day

4.4. Refunds

See §5 Refund Policy. Full refund within 14 days of any payment — no additional conditions.

4.5. Price changes

• Active subscribers notified at least 30 days before any price increase via email
• Current paid period uses the old price until it expires
• New price applies only from the next billing cycle after notification
• User may cancel before new price takes effect — no financial consequences

4.6. Consent record-keeping

Each subscription confirmation is recorded: account ID, timestamp, IP address, version of this Offer accepted. Retained for the duration of the subscription and 3 years after termination for legal compliance. See Privacy Policy.

5. Refund Policy

Full refund available within 14 days of any payment (initial or recurring) by contacting support@themeforge.pro. Refunds processed without additional conditions, typically 5–10 business days to reach your card.

6. Changes to this Offer

Material changes (price, subscription period, recurring terms) are communicated at least 30 days in advance via email and the service. Non-material changes take effect upon publication of the new edition at themeforge.pro/offer. Continued use after publication constitutes acceptance.

7. Termination

User may terminate anytime by cancelling the subscription (§4.3). We may terminate services in case of User Agreement violations, with pro-rata refund of unused paid period.

8. Governing law

This Offer is governed by applicable international law. Disputes resolved through good-faith negotiation first.
